You may want an entity for a customer contract, an online shop or a business you plan to run in the U.S. Write that reason down before choosing a state. A company that fits one business can be a poor fit for another.
Make a short description of where you work, where customers are, whether you hold inventory and whether anyone works for the business in the U.S. Add your country of tax residence and any other owners. These facts are more useful than a promise that one state suits everyone.

A single owner, several owners and an election for corporate taxation can produce different federal treatment. A single-member LLC is generally disregarded for federal income tax unless it elects otherwise.IRS The word “LLC” alone does not identify the tax return.
For example, an individual owning a new U.S. company and a foreign company opening a U.S. operation need different owner records. Do not put yourself down as the owner simply because you are the contact person for a business that actually owns it.
Ask for the federal classification to be recorded alongside the ownership. Keep election documents with the formation records if an election is made. This gives the EIN application, bank request and later filings the same starting point.
A domestic LLC with at least two members normally has partnership tax treatment unless it elects corporate treatment. A one-owner disregarded-entity checklist is therefore not a safe default for several partners.IRS
Partnership reporting includes Form 1065. If the partnership has effectively connected taxable income allocated to foreign partners, section 1446 can also require withholding. The owners' status and income category matter to that review.IRS
Form 8804 reports the partnership withholding liability. Form 8805 identifies a foreign partner's allocated income and withholding; retain your copy for the personal filing review. Form 8813 is used for partnership withholding payments.IRS
If an owner joins, leaves or transfers an interest, raise that event separately. Withholding on a transfer of a partnership interest is a different review from withholding on operating income. Tell your preparer before finalizing the transfer.IRS

Ask your tax reviewer for a list naming the company forms, any personal returns, state filings and who will prepare each. State renewal work and a federal information return are not the same task.
For a foreign-owned U.S. disregarded entity, Form 5472 Part V reaches more than customer sales. Its instructions cover transactions connected with creating, acquiring, ending or disposing of the entity, including owner contributions and distributions. The required description goes on an attached statement.IRS
Identify each related party and the transactions involving that party. The instructions require a separate Form 5472 for each related party with reportable transactions. A single total called “owner transfers” can hide the detail your preparer needs.IRS
This entity category cannot submit Form 5472 electronically under the current instructions. It uses the specified submission route with a pro forma Form 1120. An EIN application and a successful bank setup do not complete that package.IRS
If an extension is needed, review Form 7004 and the special submission instructions for foreign-owned disregarded entities. Agree who prepares and submits it before the filing deadline.IRS
An EIN does not promise a bank account. Ask the bank for the checklist for your country of residence, owners and account type. Keep the response and show the company name exactly as it appears in the formation record.
Likewise, ask any formation provider what the quote covers. State fees, registered-agent arrangements, company documents and ongoing filing work should be named separately. Do not assume an advertised company service price includes every third-party cost.
If a bank asks for your personal ITIN, ask what requirement it addresses and whether another identifier is accepted. A business EIN and a personal ITIN identify different things; confirm the personal tax purpose before starting W-7.
